These terms describe the agreement between BrightLayoutGroup SRL and clients who order services through this website. For any signed individual contract, the engagement letter prevails over these published terms.

1. Parties
These terms apply to services provided by BrightLayoutGroup SRL (tax id RO43217684, registered at Str. Mihai Eminescu nr. 13A, sat. Movilița, jud. Ialomița, 927180) to clients who place orders. By placing an order, the client confirms it is a commercial entity with the legal capacity to enter this contract.
2. Scope of services
BrightLayoutGroup provides web design and brand identity services, delivered digitally. The specific scope of each mission is described in the engagement letter, signed by both parties after the order is placed and before any work begins. Work outside the agreed scope is treated as a change request and quoted separately.
3. Pricing, invoicing, and payment
Prices on this site are in euros, excluding VAT. For Romanian clients we add 19% VAT. For clients with a valid VAT number elsewhere in the EU we apply the reverse-charge mechanism. Clients outside the EU are not charged VAT. Payments are by card via Stripe Payments Europe, Ltd. or by bank transfer against an invoice.
For mission packs, payment is made in full in advance, before any work begins. For missions running longer than six weeks, payment can be split into two instalments — 50% at kickoff, 50% at handover — by written agreement.
4. Calendar and delivery
The calendar for each mission is set in the engagement letter. Client-side delays (late responses to revisions, materials not received) extend the calendar accordingly. Delivery consists of sending the final files in a shared drive (Google Drive or equivalent) plus a loom walkthrough of the file.
5. Revisions and change requests
The number of revision rounds included is specified for each mission. Revisions beyond the included count and change requests outside the agreed scope are quoted at €80/hour. All change requests are confirmed in writing and paid in advance.
6. Intellectual property
At handover and after full payment, the client becomes the exclusive owner of the final deliverables (logo, visual system, site design, illustrations). BrightLayoutGroup retains the right to use the work in its own portfolio, subject to the client’s prior written consent for work that is not yet publicly visible.
7. Cancellation and refunds
Cancellation can be requested in writing within fourteen days of payment if no work has started yet; in this case the full amount is refunded. After work has started, cancellation incurs a pro-rated invoice for work performed plus a €200 administrative fee. Unused hour banks are not refundable after fourteen days from purchase, but can be transferred to another entity by written agreement.
8. Limitation of liability
BrightLayoutGroup’s liability for any direct damages related to a project is limited to the amount paid by the client for that project. The liability exclusion does not apply in cases of gross negligence or wilful misconduct.
9. Confidentiality
All briefs, materials, and commercial information received from the client are treated confidentially. We do not use client materials for purposes other than the stated one. For specific confidentiality requirements (NDA), we sign a separate agreement on request.
10. Governing law
This contract is governed by Romanian law. Disputes are resolved amicably; failing that, they fall within the jurisdiction of the courts in Bucharest, Romania. For EU consumers, the EU online dispute resolution platform is available at ec.europa.eu/consumers/odr.
